Financial Planning AI Tools — Terms of Service

Please read these terms of service carefully before accessing or using the Platform.
These Terms of Service (the “Terms” or this “Agreement”) govern your access to and use of the Financial Planning AI Tools platform, including the website, applications, software, tools, content, and related services (collectively, the “Platform”). The Platform is provided by Forum Financial Management, LP (“Forum,” “we,” “us,” or “our”).
By creating an account, clicking to accept, signing an order form or subscription agreement that references these Terms, or otherwise accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform.
If you are accepting these Terms on behalf of a firm or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you,” “your,” and “Subscriber” refer to that entity.
1. Definitions
- “Subscriber” means the registered investment advisor firm, entity, or individual professional that has subscribed to the Platform and on whose behalf these Terms are accepted.
- “Authorized User”means an individual — such as an investment adviser representative, employee, or contractor of the Subscriber — whom the Subscriber permits to access the Platform under the Subscriber’s subscription.
- “You” refers to the Subscriber and, where applicable, each Authorized User.
- “Tools” means the financial planning, analysis, illustration, and modeling features made available through the Platform, including without limitation tax-planning, investment-simulation, and insurance-needs-analysis tools.
- “Tool Outputs” means any illustrations, projections, charts, reports, calculations, or other materials generated by the Tools based on inputs and assumptions.
- “Subscriber Client” means an end client, prospective client, or other third party of the Subscriber. Subscriber Clients are not parties to this Agreement.
- “Order Form”means an ordering document, subscription agreement, or online checkout confirming the Subscriber’s subscription, fees, and term.
2. Eligibility and Professional Use Only
The Platform is intended solely for use by investment professionals — including registered investment advisers, investment adviser representatives, and other qualified financial professionals — in the course of their professional practice.
By creating an account and using the Platform, you represent and warrant that: (a) you are a registered investment adviser, an investment adviser representative, or another qualified financial professional, or are employed or engaged by such a person or firm; (b) you are authorized to access and use the Platform in your professional capacity; and (c) you will use the Platform only for lawful, professional purposes consistent with these Terms.
The Platform is not intended for, and may not be used by, retail investors or the general public for personal investment decision-making. You may not provide access to the Platform to any person who is not an Authorized User.
3. Account Registration, Authorized Users, and Security
To use the Platform, you must register and establish an account using a valid email address, a password, and other required information. You agree to provide true, accurate, current, and complete information and to keep it up to date.
You are responsible for: (a) maintaining the confidentiality and security of all account credentials and access codes; (b) all activity that occurs under your account or that of any Authorized User, whether or not authorized by you; and (c) the integrity and security of the devices, operating environment, and internet browsers from which the Platform is accessed. You must notify Forum promptly of any unauthorized use of an account or any other suspected breach of security.
The Subscriber is responsible for ensuring that each Authorized User complies with these Terms, and the Subscriber remains liable for any act or omission of its Authorized Users. Subscriptions and accounts may not be shared beyond the licensed number of Authorized Users.
4. License Grant and Scope of Use
Subject to your compliance with these Terms and payment of applicable fees, Forum grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform during the subscription term, solely for your internal professional use in serving your own clients.
This license does not include any right to: (a) resell, sublicense, rent, lease, loan, or otherwise make the Platform available to any third party except Authorized Users; (b) use the Platform on a service-bureau, white-label, or time-sharing basis; or (c) use the Platform to build or assist in building a competing product or service. All rights not expressly granted are reserved by Forum.
5. Nature of the Services — No Advice; Forum Is Not Your Adviser
The Tools and all Tool Outputs are provided for illustrative, educational, and informational purposes only. They are intended to support — not replace — the independent professional judgment of qualified investment professionals.
Nothing on or generated through the Platform constitutes, and nothing should be construed as: (a) investment advice or a recommendation to buy, sell, or hold any security or to adopt any investment strategy; (b) tax, legal, accounting, or insurance advice; or (c) any personalized recommendation to any person, including any Subscriber Client.
All Tool Outputs are hypothetical and are generated solely from the inputs you provide and the assumptions selected or applied. Hypothetical illustrations do not reflect actual results, do not account for all factors relevant to a particular situation, and are not a guarantee or prediction of future results. Actual results — including investment performance, tax consequences, and insurance outcomes — may differ materially from any Tool Output.
Forum does not, through the Platform, act as an investment adviser, sub-adviser, fiduciary, solicitor, promoter, or service provider to you or to any Subscriber Client. Forum is itself a registered investment advisor, but its provision of the Platform to you is a software-licensing relationship only and creates no advisory relationship between Forum and you, and no advisory, fiduciary, or other relationship between Forum and any Subscriber Client. You alone are responsible for any advice you provide and any decision made using, or informed by, the Platform.
6. Subscriber Responsibilities and Regulatory Compliance
You are solely responsible for your own compliance with all laws, rules, and regulations applicable to your business, including without limitation the Investment Advisers Act of 1940, applicable state securities and insurance laws, and the rules of any regulatory authority or self-regulatory organization to which you are subject. Without limiting the foregoing, you are solely responsible for:
- Reviewing and validating all Tool Outputs before relying on them or presenting them to any Subscriber Client. You must independently confirm that inputs, assumptions, and results are accurate and appropriate for the intended use.
- Your fiduciary duties and suitability obligations, including determining whether any strategy or product reflected in a Tool Output is suitable and in the best interest of a particular client.
- Advertising and marketing compliance, including the SEC marketing rule and any applicable review, approval, substantiation, and disclosure requirements, with respect to any Tool Output you distribute or present.
- Required disclosures. You must apply your own disclosures, disclaimers, and source attributions when presenting Tool Outputs to any Subscriber Client, including disclosure that illustrations are hypothetical.
- Recordkeeping. You are responsible for retaining records of Tool Outputs and related communications as required by the recordkeeping rules applicable to you. Forum does not undertake to maintain books and records on your behalf.
- Accuracy of inputs. Tool Outputs depend entirely on the data and assumptions you enter. You are responsible for the accuracy, completeness, and lawful use of all data you input.
Forum makes no representation that the Platform or any Tool Output is, by itself, compliant with any law or regulation applicable to your use. The Platform is a tool; compliant use of that tool is your responsibility.
7. Subscriber Data and Client Data; Privacy and Security
Ownership.As between the parties, you retain all rights in the data you and your Authorized Users input into the Platform, including any nonpublic personal information of Subscriber Clients (“Subscriber Data”). You grant Forum a non-exclusive license to host, process, transmit, and display Subscriber Data solely as necessary to provide, maintain, secure, and improve the Platform and as otherwise permitted by these Terms.
Your responsibilities for client data.You represent and warrant that you have all rights, consents, and lawful bases necessary to input Subscriber Data into the Platform and to permit Forum’s processing of it as described in these Terms. You are responsible for your own obligations regarding the privacy and safeguarding of client information, including under Regulation S-P and any applicable privacy or data-protection laws, and for maintaining your own privacy policy with your clients.
Forum’s use of data.Forum will use Subscriber Data only to provide and support the Platform and as otherwise described in these Terms or Forum’s privacy notice. Forum may collect and use aggregated and de-identified data derived from use of the Platform (data that does not identify you or any Subscriber Client) for purposes such as operating, analyzing, and improving the Platform.
Security. Forum uses commercially reasonable administrative, technical, and physical safeguards designed to protect the Platform and Subscriber Data, including encryption in transit. However, no system or method of data storage or transmission is completely secure. Forum makes no warranty, express or implied, regarding the efficacy of the security of the Platform, and except as required by applicable law, shall not be liable for any claimed direct, actual, or consequential damages arising from any breach or alleged breach of security. You must not attempt to disable or circumvent any security features of the Platform.
8. Third-Party Data, Software, and Service Providers
The Platform incorporates or relies on third-party software, infrastructure, market data, tax tables, and other data and services (collectively, “Third-Party Materials”). Third-Party Materials may be subject to separate terms imposed by their providers.
Forum does not control and is not responsible for the accuracy, completeness, timeliness, or availability of Third-Party Materials, and provides them on an “as is” basis without warranty. Forum is not liable for any errors, delays, interruptions, or losses arising from Third-Party Materials or from the acts or omissions of third-party providers, including telecommunications and hosting providers. Tax rates, contribution limits, insurance assumptions, and similar reference data may change, and you are responsible for confirming that any reference data used in a Tool Output is current and correct for your intended use.
9. Subscriptions, Fees, and Billing
Subscription required. Access to the Platform requires an active, paid subscription as set forth in an Order Form, except for any free trial or evaluation access expressly offered by Forum.
Fees and billing.You agree to pay all fees specified in the applicable Order Form. Unless the Order Form provides otherwise: (a) fees are billed in advance on the stated billing cycle; (b) all fees are non-refundable, including for partial subscription periods and for periods in which the Platform was available but unused; (c) fees are exclusive of taxes, and you are responsible for all applicable sales, use, and similar taxes (other than taxes on Forum’s income); and (d) you authorize Forum or its payment processor to charge your designated payment method for all amounts due.
Auto-renewal. Unless the Order Form states otherwise, subscriptions automatically renew for successive periods equal to the prior term unless either party gives notice of non-renewal before the end of the then-current term. You may cancel or manage renewal as described in your account or Order Form.
Late payment and suspension. Forum may suspend access for any account with overdue fees after reasonable notice. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
Price changes. Forum may change subscription fees effective upon renewal by providing notice before the start of the renewal term.
10. Intellectual Property and Ownership
The Platform — including all software, source code, models, algorithms, methodologies, calculations, designs, text, graphics, user interfaces, and the selection and arrangement thereof — is owned by Forum or its licensors and is protected by intellectual-property laws. Except for the limited license granted in Section 4, no rights in the Platform are transferred to you.
You agree not to copy, modify, adapt, translate, rent, lease, loan, sell, assign, distribute, reverse engineer, decompile, disassemble, create derivative works from, or otherwise attempt to derive the source code, models, or methodology underlying the Platform, except to the extent such restriction is prohibited by applicable law.
“Forum Financial Management,” “Financial Planning AI Tools,” and related names, logos, product and service marks, and designs are trademarks of Forum or its affiliates. You may not use these marks without Forum’s prior written permission.
Feedback. If you provide suggestions, ideas, or other feedback regarding the Platform, you grant Forum a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate that feedback without restriction or obligation to you.
11. Prohibited Uses
You agree not to, and not to permit any Authorized User or third party to:
- Use the Platform other than for lawful, professional purposes consistent with these Terms;
- Provide Tool Outputs to retail investors or the general public as standalone investment advice, or in any manner that misrepresents their hypothetical and illustrative nature;
- Access or attempt to access data, materials, or accounts belonging to any other Subscriber or party;
- Use the Platform to damage, disable, overburden, or impair the Platform or interfere with any other party’s use of it;
- Engage in hacking, password mining, scraping, or any other means of gaining unauthorized access to the Platform, accounts, or related systems;
- Upload or transmit any unlawful, infringing, defamatory, obscene, or malicious material, or any code intended to harm or disrupt; or
- Remove, obscure, or alter any proprietary notices on the Platform or any Tool Output.
12. Service Availability and Modifications
Forum will use commercially reasonable efforts to make the Platform available, but does not warrant uninterrupted or error-free availability. The Platform may be unavailable from time to time due to scheduled maintenance, upgrades, or mechanical, electronic, or third-party failures.
Forum reserves the right, in its sole discretion, to supplement, modify, suspend, or discontinue any aspect of the Platform — including specific Tools, features, or means of access — at any time, with or without notice. Forum will use reasonable efforts to provide notice of material adverse changes to paid features during a subscription term.
13. Disclaimer of Warranties
The Platform, the Tools, and all Tool Outputs and content are provided “as is” and “as available.” To the fullest extent permitted by law, Forum disclaims all warranties and representations, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Forum does not warrant that the Platform will be error-free, accurate, complete, secure, uninterrupted, or free of harmful components, or that any Tool Output will meet your requirements or produce any particular result. You assume all risk associated with your use of the Platform and your reliance on any Tool Output.
14. Limitation of Liability
To the fullest extent permitted by law, Forum and its affiliates, partners, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Platform or these Terms, even if advised of the possibility of such damages.
Without limiting the foregoing, Forum shall not be liable for any investment, tax, insurance, or other decision made by you or any Subscriber Client based on or informed by any Tool Output.
Forum’s total aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the total fees paid by you to Forum for the Platform during the twelve (12) months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the theory of liability and form an essential basis of the bargain. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Forum and its affiliates, partners, directors, officers, employees, and licensors from and against any and all third-party claims, and all related liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees), arising out of or relating to: (a) your or your Authorized Users’ use of the Platform; (b) any Tool Output you distribute, present, or rely upon; (c) any advice, recommendation, or service you provide to any Subscriber Client; (d) Subscriber Data or your inputs, including any claim that they infringe or violate the rights of a third party or any law; (e) your breach of these Terms; or (f) your violation of any law or regulation applicable to your business.
Forum will notify you of any such claim, and you will assume and control the defense and settlement (provided that any settlement imposing obligations on Forum requires Forum’s prior written consent). Forum may participate in the defense with its own counsel at its own expense.
16. Term, Termination, and Suspension
This Agreement begins when you first accept it or access the Platform and continues for the duration of your subscription.
Either party may terminate this Agreement or a subscription with or without cause as provided in the applicable Order Form or, if not addressed there, upon reasonable notice. Forum may suspend or terminate your access immediately, with or without notice, if you breach these Terms, fail to pay fees when due, or use the Platform in a manner that creates risk or potential liability for Forum.
Effect of termination. Upon termination: (a) your license and right to access the Platform end immediately; (b) you remain responsible for all fees accrued through the effective date of termination; and (c) Forum may delete Subscriber Data in accordance with its data-retention practices after a commercially reasonable period, except as required to be retained by law. You are responsible for exporting or retaining any Tool Outputs or records you are required to keep before termination.
Survival. Sections concerning ownership, fees accrued, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and any other provisions that by their nature should survive will survive termination.
17. Dispute Resolution; Arbitration; Class Waiver
Informal resolution and mediation.The parties agree that any dispute relating to this Agreement or its breach shall first be submitted to good-faith negotiation and, if unresolved, to mediation under the Mediation Rules of the American Arbitration Association (“AAA”) then in effect before resorting to arbitration. Failure or refusal by either party to mediate shall not affect any subsequent arbitration. Mediation shall be conducted in Chicago, Illinois, or another mutually agreed location, and may be conducted by videoconference with the consent of both parties.
Arbitration. If a dispute is not resolved by mediation, it shall be settled by binding arbitration administered by the AAA under its applicable rules, before one or more arbitrators selected in accordance with those rules, in Chicago, Illinois, or another mutually agreed location (and may be conducted by videoconference with the consent of both parties). Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may award actual damages only and may not award consequential, exemplary, or punitive damages.
Prevailing party.The prevailing party in any arbitration or litigation shall be entitled to recover reasonable attorneys’ and expert-witness fees, court costs, and AAA fees and expenses, in addition to any other relief awarded.
Class-action waiver. To the fullest extent permitted by law, disputes shall be resolved only on an individual basis, and you waive any right to participate in a class, collective, or representative action.
Third parties. Neither party shall be compelled to arbitrate any dispute arising out of or related to a claim asserted by a third party unless that third party agrees to, and can be compelled to, join the arbitration.
18. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Illinois, without regard to its conflict-of-law provisions. Subject to Section 17, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in DuPage County, Illinois, for any matter not subject to arbitration.
19. Miscellaneous
Entire agreement; order of precedence. These Terms, together with any Order Form and any policies referenced herein, constitute the entire agreement between the parties regarding the Platform and supersede all prior understandings on that subject. In the event of a conflict, a signed Order Form or master subscription agreement controls over these Terms, and these Terms control over any other Platform documentation. This Agreement does not modify or affect any separate engagement or advisory agreement between Forum and any person.
Relationship of the parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship.
No third-party beneficiaries. This Agreement is for the benefit of the parties only. No Subscriber Client or other third party is a beneficiary of, or has any rights under, this Agreement.
Assignment.You may not assign or transfer this Agreement without Forum’s prior written consent. Forum may assign this Agreement, including in connection with a merger, acquisition, or sale of assets.
Force majeure. Forum is not liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, outages, cyberattacks, labor disputes, or actions of third-party providers.
Notices. Forum may provide notices through the Platform, by email to your account address, or by other reasonable means. You are responsible for keeping your contact information current.
Waiver and severability. No waiver is effective unless in writing and signed by Forum, and no waiver constitutes a continuing waiver. If any provision is held unlawful, void, or unenforceable, it will be severed and the remaining provisions will remain in full force and effect.
Modification of these Terms.Forum may modify these Terms at any time. Forum will post the updated Terms with a revised “Last updated” date and, for material changes, will use reasonable efforts to provide notice. Changes are effective upon posting unless otherwise indicated, and your continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
Headings. Section headings are for convenience only and do not affect interpretation.
